Terms of Service

1. Introduction

These Terms govern your access to and use of FluxyOS, including the website, the financial operations platform, all product features, mobile or desktop interfaces, and any related services made available by FluxyOS now or in the future.

By creating an account, signing in, or otherwise using any part of FluxyOS, you confirm that you have read, understood, and agreed to these Terms. If you access FluxyOS on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity, and references to "you" include both the individual user and the entity.

These Terms will evolve as FluxyOS grows. We will communicate significant changes with reasonable notice. Continued use after an update means you accept the revised Terms.

2. About FluxyOS

FluxyOS is a financial operations software platform. It is designed to help business owners, finance teams, and operators manage business finance workflows, including:

• Transaction ledgers (revenue, expenses, transfers, refunds)
• Revenue records and income tracking
• Bills and payment scheduling
• SaaS subscription tracking
• Operating budgets and allocation management
• Financial reports and income statement previews
• Document uploads (receipts, invoices, bank statements)
• AI-assisted finance analysis, explanations, and workflow support
• Cash flow visibility and accounting center tools

FluxyOS is software — not a financial institution. FluxyOS is not a bank, accounting firm, certified public accountant, tax advisor, legal counsel, investment advisor, or payment institution, unless explicitly stated otherwise in a separate written agreement in the future. Outputs from FluxyOS are operational tools, not professional financial, tax, legal, or investment advice.

3. Eligibility and Account Registration

To use FluxyOS, you must:

• Be legally capable of entering into binding agreements under applicable law
• Be at least 18 years old, or the minimum age of legal capacity in your jurisdiction
• Provide accurate, current, and complete information when creating your account
• Keep your account information up to date

You are responsible for maintaining the confidentiality of your login credentials, including your password and any connected authentication methods. You are responsible for all activity that occurs under your account, whether or not you authorized it.

If you become aware of any unauthorized access to or use of your account, you must notify us immediately at legal@fluxyos.com.

FluxyOS may suspend or restrict access to an account if it reasonably believes the account is being used in an unauthorized, abusive, fraudulent, or unlawful manner.

4. Use of the Service

You may use FluxyOS only for lawful business purposes and in accordance with these Terms.

You must not use FluxyOS to:

• Access, read, modify, or delete another user's data without their explicit permission
• Upload, store, or transmit content that is illegal, harmful, fraudulent, defamatory, or infringes any third-party rights
• Attempt to bypass, circumvent, or test the limits of authentication, authorization, security controls, or rate limits
• Reverse engineer, decompile, scrape, copy, or create derivative works based on FluxyOS software, design, or infrastructure
• Use FluxyOS to facilitate, disguise, or enable fraud, money laundering, tax evasion, or any unlawful financial activity
• Interfere with, disrupt, or degrade the availability or performance of FluxyOS or its underlying infrastructure
• Upload or transmit malware, viruses, or malicious code of any kind
• Misrepresent your identity, business information, financial data, or authorization to use the service
• Use automated tools, bots, or scripts to access or interact with FluxyOS in a way that exceeds normal human usage

We reserve the right to investigate violations and take appropriate action, including suspending or terminating access.

5. User Data and Ownership

You retain ownership of the data, records, documents, and content you upload, enter, or generate within FluxyOS ("User Data"). By using FluxyOS, you grant us a limited, non-exclusive license to process, store, display, and transmit your User Data solely to provide, operate, secure, improve, and support the service.

Your financial data is stored under your authenticated user account and is not accessible to other users unless a future team or workspace feature explicitly enables shared access with your permission and appropriate controls.

You are solely responsible for the accuracy, completeness, legality, and appropriateness of the data you submit to FluxyOS. FluxyOS is not responsible for errors, omissions, or incorrect outputs that result from inaccurate, incomplete, outdated, or improperly formatted User Data.

You represent and warrant that you have all rights, licenses, and permissions necessary to submit your User Data and to allow FluxyOS to process it as described in these Terms and our Privacy Policy.

6. Financial Data, Reports, and AI Outputs

FluxyOS may generate dashboards, KPI summaries, income statements, period comparisons, budget reports, cash flow analyses, data quality assessments, forecasts, warnings, and AI-assisted explanations based on your User Data.

These outputs are for operational visibility and internal decision support only. They are not accounting opinions, tax filings, legal advice, investment recommendations, banking statements, or regulatory submissions. FluxyOS does not guarantee that outputs are complete, accurate, error-free, timely, or suitable for any specific business decision, legal purpose, or regulatory requirement.

You are responsible for:

• Reviewing all outputs before acting on them or sharing them externally
• Confirming financial records before submitting them to accountants, tax authorities, investors, lenders, auditors, or regulators
• Consulting qualified professionals — including accountants, tax advisors, lawyers, and financial advisors — for decisions that require professional expertise

AI-assisted actions that would create or modify records in your account require your explicit confirmation before they are saved. FluxyOS AI features do not autonomously write or alter financial records without your approval.

7. Uploaded Documents

FluxyOS allows you to upload finance-related documents, including receipts, invoices, payment proofs, bank statements, CSV files, and other supporting files. By uploading a document, you confirm that:

• You have the legal right to upload, process, and share that document within FluxyOS
• The document does not violate any applicable law or third-party rights

FluxyOS may use AI and automated tools to extract, classify, and organize information from uploaded documents to help you review and save financial records. We do not guarantee the accuracy of extracted data. You must review all extracted information before saving or relying on it.

FluxyOS may reject or remove uploads that are unsupported in format, exceed size limits, are potentially unsafe, are unrelated to finance purposes, or appear to be used abusively. Supported file types and size limits are defined within the product and may change over time.

8. Subscriptions, Billing, Trials, and Payments

Certain features of FluxyOS may be available on a free, trial, paid, usage-limited, or subscription basis. Plan features, storage limits, AI usage quotas, team seat counts, and pricing may vary by plan and are described on the pricing page.

When you subscribe to a paid plan, you agree to pay the applicable fees for that plan. By providing payment information, you authorize FluxyOS or its payment processor to charge applicable fees.

Unless required by applicable law or expressly stated otherwise at the time of purchase, fees are non-refundable. FluxyOS may update pricing or modify plan features with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.

If payment fails, a subscription is cancelled, or a trial period ends without renewal, access to paid features may be limited or suspended. FluxyOS will make reasonable efforts to notify you before access is restricted.

Trial periods, if available, are subject to the specific terms described within the product or on the pricing page at the time of registration.

9. Third-Party Services

FluxyOS uses and may integrate with third-party services to deliver its features. These may include:

• Authentication providers (Google Firebase Authentication)
• Hosting and content delivery (Netlify)
• Database and storage infrastructure (Google Firestore, Firebase Storage)
• Analytics services (Google Analytics)
• AI and language model providers (for AI finance features)
• Payment and billing infrastructure providers
• Messaging services (e.g. WhatsApp, if connected by the user)
• Accounting tools, banking data providers, and revenue platforms (as integrations are added)

Third-party services are governed by their own terms of service, privacy policies, and service agreements. FluxyOS is not responsible for third-party service availability, accuracy, data practices, pricing changes, or discontinuation. Your use of FluxyOS does not grant you rights under any third-party agreement.

10. Privacy

Your use of FluxyOS is also governed by our Privacy Policy, which explains how we collect, use, store, share, and protect your personal and business information. The Privacy Policy is incorporated into these Terms by reference.

By using FluxyOS, you consent to our processing of your information as described in the Privacy Policy.

11. Service Availability and Changes

FluxyOS aims to provide a reliable, high-quality service, but we do not guarantee uninterrupted, error-free, or continuously available access. The service is provided on a commercially reasonable effort basis.

We may at any time, with or without notice:

• Add, change, pause, limit, or remove product features
• Perform maintenance, upgrades, or updates that temporarily affect availability
• Modify or discontinue integrations with third-party services
• Change the design, interface, or technical architecture of the platform

Beta, preview, stub, or experimental features may be incomplete, subject to change, and provided without stability guarantees. They may be modified or removed at any time.

We will make reasonable efforts to communicate material changes that affect your workflows, particularly where changes affect data access, pricing, or the availability of core features.

12. Security

FluxyOS applies reasonable technical and organizational safeguards to protect accounts, data, and the platform infrastructure. These include authentication controls, user-scoped data access rules, encrypted data transport, and security monitoring.

You are responsible for:

• Keeping your password, device, and email account secure
• Using strong, unique credentials for your FluxyOS account
• Not sharing your login credentials with unauthorized parties
• Notifying us promptly at legal@fluxyos.com if you suspect unauthorized access to your account

No system is completely secure. FluxyOS cannot guarantee that security incidents will never occur. In the event of a confirmed breach affecting your data, we will take reasonable steps to investigate, mitigate, and communicate as required.

13. Intellectual Property

FluxyOS, including the brand name, logo, website, software, product design, user interface, features, documentation, and all related content, is owned by FluxyOS or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you any ownership interest in FluxyOS. You may not:

• Copy, reproduce, distribute, or resell any part of the FluxyOS platform or its content
• Create derivative works based on FluxyOS without prior written permission
• Use the FluxyOS name, logo, or branding without explicit written authorization

If you submit feedback, ideas, or suggestions about FluxyOS, you grant us a perpetual, royalty-free, worldwide license to use that feedback for any purpose, without any obligation to you, unless otherwise agreed in writing.

14. Account Suspension and Termination

You may stop using FluxyOS at any time. If you wish to close your account, you can contact us at legal@fluxyos.com.

FluxyOS may suspend, restrict, or terminate your access — with or without prior notice — if:

• You violate any provision of these Terms
• Your account activity creates legal, security, financial, or reputational risk for FluxyOS or other users
• You fail to pay applicable subscription fees
• You misuse the service or engage in fraudulent, abusive, or unlawful activity
• We are required to do so by applicable law or regulatory authority

After termination or suspension, your access to the platform and your data may be limited or removed. FluxyOS may retain certain records as required for legal, security, accounting, audit, fraud prevention, or dispute-resolution purposes, in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — will continue to apply after termination.

15. Disclaimers

To the maximum extent permitted by applicable law, FluxyOS is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.

We do not warrant that:

• The service will be uninterrupted, error-free, or fully secure at all times
• Financial data, reports, summaries, calculations, or AI outputs will be complete, accurate, current, or suitable for your specific business decision
• The platform will meet your particular requirements or expectations
• Any bugs, errors, or defects will be corrected within a specific time frame
• Use of FluxyOS will satisfy tax, accounting, legal, banking, or regulatory compliance obligations

You should consult qualified professionals — including certified accountants, tax advisors, lawyers, financial advisors, and compliance specialists — for any decision that requires professional expertise. FluxyOS is a tool to support your operational visibility, not a substitute for professional judgment.

16. Limitation of Liability

To the maximum extent permitted by applicable law, FluxyOS and its directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the service.

This includes, but is not limited to:

• Loss of revenue, profit, or business opportunity
• Loss, corruption, or unavailability of data
• Business interruption or operational disruption
• Costs of substitute products or services
• Decisions made based on FluxyOS outputs or generated reports
• Unauthorized access to your account by a third party

These limitations apply whether the claim arises in contract, tort, strict liability, or otherwise, and even if FluxyOS has been advised of the possibility of such damages. Where applicable law does not permit the full exclusion of implied warranties or the limitation of certain damages, our liability will be limited to the greatest extent permitted by that law.

17. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FluxyOS and its directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of FluxyOS
• Your violation of these Terms
• User Data that is inaccurate, unlawful, or infringes third-party rights
• Your violation of any applicable law or regulation
• Your infringement of any intellectual property or other rights of a third party

18. Governing Law and Dispute Resolution

These Terms are generally governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict-of-law principles, unless mandatory local laws in your jurisdiction require otherwise.

If a dispute arises in connection with these Terms or your use of FluxyOS, we encourage you to contact us first at legal@fluxyos.com so that we can attempt to resolve the matter through good-faith discussion.

If a dispute cannot be resolved informally, it may be referred to the competent courts or appropriate dispute resolution forum in Indonesia, unless applicable law in your jurisdiction requires another venue. Nothing in this section limits any rights you may have under mandatory consumer protection or local law.

The wording in this section is general and does not constitute confirmed legal counsel. We recommend consulting a qualified legal professional for disputes involving significant value or legal complexity.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our product, legal obligations, or operational practices. The updated version will be published at fluxyos.com/terms with a new effective date.

For significant changes that materially affect your rights or obligations, we will make reasonable efforts to notify you through the website, by email, or through an in-product notice prior to the change taking effect.

Your continued use of FluxyOS after the effective date of an update means you accept the revised Terms. If you do not agree to the updated Terms, you should stop using FluxyOS and contact us to close your account.
